MILAN, Jul 2 (Class Editori) -- Dba Group, a company listed on AIM operating in the provision of Engineering and Telematics services to support infrastructure management, is expanding its activity in Eastern Europe.
The Slovenian subsidiary Actual IT has signed the preliminary contract of sale for the acquisition of 100% of the capital of the Slovenian company Unistar LC, active in the sectors of Cyber Security and Information Technology.
Unistar in particular is one of the leading Slovenian players active since 1989 in the fields of consulting, design, integration, maintenance, monitoring and management of ICT systems, in providing basic hardware and software, virtualization and cloud computing services, hosting and housing, and, in general, of Operation Management.
Through the acquisition of Unistar LC, Actual IT expects to generate synergies in terms of Ebitda. attaining between 1 and 1.5 million euros per year.
If the transaction were successful, its contribution to the value of the annual foreign production of the Dba Group would be around 50% and the value of the ICT services provided to support the Smart Infrastructures would equate that of the Engineering and Project Management components, following the growth targets for external lines of the 2017-2021 Business Plan.
The consolidated production value of the Dba Group's pro-forma at December 31, 2018, including Unistar LC, would be around €68 million.
“Thanks to this acquisition we will complete the range of products and services offered in the IT environment to support the management of the Smart Infrastructure lifecycle, diversifying our activities in the Information Security Management and Cybersecurity sectors and, subsequently, in the BlockChain,” explained president of Dba Group Francesco De Bettin.
“Following the acquisition of the minority share of Actual IT, which took place on September 2018, we were able to resume expansion through external lines with a greater focus on the Balkans, the Caucasus and more generally on the Silk Road,” declared the president of Dba Group.
“This operation generates industrial, financial and economic synergies for the entire Dba Group and places Actual IIT among the most important IT players in the Maritime, Oil & Gas, System Integration, ERP and Cybersecurity areas of the entire Balkan peninsula. It also allows the management and workers of the entire new Slovenian group to be valued, rewarding the efforts and dedication that have enabled Actual IT from 2015 to move beyond Slovenian national borders and become an international player in the digitalisation of the Supply Chain along the entire New Silk Road,” explained De Bettin.
“This acquisition proves that our firm is willing to continue its growth abroad and our vocation towards a greater contribution of the IT market to support the management of the life cycle of individual and network infrastructures, enabling the historic units of Dba Group, Engineering in Project Management Office, to offer intelligent engineering services through the application of digital Twin models for the design and management of Smart Infrastructures,” concluded the group president, founded together with his three brothers, all engaged in the management of the group.
Dba, whose shares are listed on AIM since December 2017, is one of the Italian ICT groups most committed to connectivity projects linked to the Belt & Road initiatives. In particular it is committed to the computerization of the main Italian ports equipped with blockchain technologies and its area of influence has extended from the Balkan region to the Middle East. Dba is working at one of the main projects of Azerbaijan, the new freight and passenger terminal of the port of Baku, the country's capital and one of the most important junctions on the new Silk Road that connects the Eurasian continent.
Francesco De Bettin, in particular, was the inspiration behind the 2017-2021 group's business plan, which took the strategy linked to the development of the maritime and terrestrial Silk Road as a guide for business operations.
